Welcome to Truxen. This website (the "Site") is operated by Truxen ("we", "us", or "our"), a company legally registered and established under the laws of Hong Kong. Truxen provides online retail services for automotive parts, accessories, and components (collectively, "Products") to retail consumers ("you" or "your") in the United States and Canada.

Please read these Terms of Service ("Terms") carefully before accessing or using our Site. By accessing, browsing, or purchasing from our Site, you agree to be bound by these Terms, including those additional terms, conditions, and policies referenced herein and/or available by hyperlink. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence (18 years of age in most jurisdictions).

To purchase Products, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration and checkout process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. AUTOMOTIVE PARTS FITMENT AND COMPATIBILITY DISCLAIMER

CRITICAL NOTICE TO BUYERS: Automotive parts require precise fitment.

  • Reference Only: Any fitment guides, compatibility charts, search-by-vehicle tools, OEM (Original Equipment Manufacturer) part number cross-references, or year/make/model lookup tools provided on the Site are for general informational and reference purposes only.

  • Buyer’s Ultimate Responsibility: Vehicle manufacturers can change specifications mid-year, and vehicles may have aftermarket modifications. It is your ultimate responsibility to verify that the ordered Product matches your vehicle’s exact specifications, sub-model, and VIN (Vehicle Identification Number) prior to placing an order.

  • No Liability for Ordering Errors: Truxen does not guarantee 100% accuracy of fitment data on the Site. Truxen shall not be held liable for any damages, rental car costs, towing fees, or additional labor costs incurred from ordering incorrect or incompatible parts based on Site data.

3. MANDATORY PROFESSIONAL INSTALLATION AND SAFETY DISCLAIMER

HIGH RISK WARNING: Automotive parts inherently impact vehicle operation, mechanical integrity, and driving safety.

  • Certified Mechanic Required: You explicitly acknowledge and agree that all Products purchased from Truxen MUST be installed by an ASE-certified technician (in the United States), a licensed automotive service technician (in Canada), or an equivalent professional, certified mechanic.

  • DIY Installation Hazard: If you choose to install, modify, or replace parts yourself ("Do-It-Yourself" or "DIY"), you do so entirely at your own risk.

  • Limitation of Safety Liability: Truxen strictly disclaims any and all liability for product failures, vehicle damage, property damage, personal injury, or catastrophic wrongful death resulting from improper installation, negligent handling, product misuse, vehicle racing, or modifications executed by non-certified individuals.

4. PRODUCTS, PRICING, AND SELLING TERMS

  • Pricing Currency: All prices displayed on the Site are processed in U.S. Dollars (USD) or Canadian Dollars (CAD) as indicated at checkout. Prices and availability are subject to change without notice.

  • Order Acceptance and Rejection: We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases of clear typographical errors in pricing, product description inaccuracies, or suspected fraudulent activity.

  • Import Duties and Taxes (For Canadian Buyers): For cross-border shipments entering Canada, you are considered the importer of record. You are responsible for complying with all local laws and regulations, and for paying any applicable customs duties, brokerage fees, and GST/HST/PST imposed by Canadian authorities upon import.

5. PROHIBITED USES

In addition to other prohibitions as set forth in the Terms, you are prohibited from using the Site or its content:

  • For any unlawful purpose or to solicit others to perform unlawful acts.

  • To violate international, federal, provincial, or state regulations, rules, or laws.

  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others (including scraping images, copying descriptions, or cloning cross-reference databases).

  • To upload or transmit viruses, malware, or any other type of malicious code.

6. INTELLECTUAL PROPERTY

All content included on the Site, such as text, graphics, logos, button icons, images, digital downloads, data compilations, and software, is the exclusive property of Truxen or its content suppliers and is protected by international copyright, trademark, and intellectual property laws.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUXEN, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, LABOR FEES, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICE.

OUR LIABILITY CAP: IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF TRUXEN EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO TRUXEN FOR THE SPECIFIC PRODUCT GIVING RISE TO THE LIABILITY CLAIM.

8. GOVERNING LAW AND LEGAL JURISDICTION

These Terms and any separate agreements whereby we provide you Products or Services shall be governed by, interpreted, and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.

9. DISPUTE RESOLUTION: BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

  • Informal Resolution: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your purchase, you agree to first contact us at support@truxen.com to attempt to resolve the issue informally.

  • Binding Arbitration: If the dispute cannot be resolved informally within sixty (60) days, you and Truxen agree that any remaining dispute shall be referred to and finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English.

  • CLASS ACTION WAIVER: YOU AND TRUXEN AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU EXPLICITLY WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, REPRESENTATIVE PROCEEDING, OR CLASS-WIDE ARBITRATION IN EITHER THE UNITED STATES, CANADA, HONG KONG, OR ANY OTHER JURISDICTION.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Truxen and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service, your improper installation or use of Products, or your violation of any law or the rights of a third-party.

11. SEVERABILITY AND TERMINATION

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms; such determination shall not affect the validity and enforceability of any other remaining provisions.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check our website periodically for changes.
